Temp-Zero — Terms of Service

OVERVIEW

Welcome to Temp-Zero (“Temp-Zero”, “we”, “us”, “our”). We operate this online store and website (the “Services”) to provide information about and sell our products. Our Services are hosted by Shopify.

These Terms of Service (“Terms”) set out your and our rights and responsibilities. Nothing in these Terms is intended to exclude, restrict, or modify any rights and remedies you have under the Australian Consumer Law (ACL). By using the Services, you agree to these Terms and to our Privacy Policy ([link]) and Refunds/Returns Policy ([link]). If you do not agree, please do not use the Services.

1. ACCESS AND ACCOUNT

You must be the age of majority in your state/territory to use the Services. You are responsible for safeguarding your account credentials and all activity under your account. You must provide accurate and up-to-date information and you may not transfer your account to anyone else.

2. OUR PRODUCTS

We try to display products accurately, but colours/appearance may vary by device. Product descriptions, pricing, and availability may change without notice. We may limit quantities or refuse sales where reasonable (e.g., suspected fraud).

3. ORDERS

Placing an order is an offer to buy. We may accept or reject orders (for example, for availability, payment verification, or suspected misuse). We’ll process payment before acceptance. If we cancel or change an order, we’ll contact you using details you provided.
Your purchases are subject to our Refunds/Returns Policy in addition to your rights under the ACL. You warrant purchases are for personal/household use (not resale or export).

4. PRICES AND BILLING

Prices are shown in AUD unless stated otherwise and generally exclude shipping, handling, and any applicable taxes or import duties. Promotions may have additional terms. You agree to keep your billing details current and authorise us (and our payment processors) to charge your selected payment method for your order total and any applicable charges.

5. SHIPPING AND DELIVERY

We’ll provide estimated delivery timeframes, but they’re not guaranteed. Where we arrange delivery via a carrier, we remain responsible for the goods until they are delivered to you (or your nominated recipient). If you arrange your own carrier not offered by us, risk passes to you when we hand the goods to your carrier. Please inspect deliveries promptly and contact us if there is an issue so we can assist. This section operates alongside your ACL rights. 

6. INTELLECTUAL PROPERTY

All content on the Services (text, images, graphics, logos, video, audio, layout, and software) is owned by Temp-Zero or our licensors and is protected by intellectual property laws. You may use the Services for personal, non-commercial purposes only. You must not copy, modify, distribute, or create derivative works without our prior written consent.

7. OPTIONAL TOOLS

We may provide access to third-party tools or features “as is” and “as available” without warranties or endorsement. Your use is at your own discretion and subject to the third party’s terms.

8. THIRD-PARTY LINKS

Links or embedded features may take you to third-party sites. We are not responsible for their content, policies, or practices. Any transactions with third parties are between you and that third party.

9. PRIVACY

We handle personal information in accordance with our Privacy Policy ([link]) and the Australian Privacy Principles (APPs). As our Services are hosted by Shopify, information you submit will be processed by Shopify and relevant service providers (which may involve overseas transfers) to operate and improve the Services. 10. MARKETING COMMUNICATIONS (SPAM ACT)

If you opt in to receive marketing, you consent to us sending emails/SMS about products, offers, or updates. All marketing will include a functional unsubscribe. If you opt out, we will stop sending marketing within a reasonable period. Transactional messages (e.g., order updates) may still be sent. 

11. FEEDBACK AND REVIEWS

When you submit ideas, reviews, or other content (“Feedback”), you grant us a worldwide, royalty-free licence to use, reproduce, and display that content for operating and promoting the Services. You represent you own or control the rights to your Feedback and that it complies with law and these Terms. We may moderate or remove Feedback at our discretion.

12. ERRORS, INACCURACIES AND OMISSIONS

From time to time information on the Services may contain typographical errors or inaccuracies. We may correct or update information without prior notice where lawful to do so.

13. PROHIBITED CONDUCT

You must not use the Services for unlawful purposes; infringe intellectual property; harass or harm others; transmit malware; scrape, crawl, or interfere with security; or misuse the Services. We may suspend or terminate access if we reasonably believe you’ve breached these Terms or applicable law.

14. CONSUMER GUARANTEES AND DISCLAIMER

We supply our goods and services subject to the ACL consumer guarantees, which cannot be excluded. To the extent permitted by law and except for your ACL rights, the Services and all non-mandatory information are provided “as is” and “as available”. We do not promise that the Services will be uninterrupted or error-free. ACCC+1

15. LIMITATION OF LIABILITY

Nothing in these Terms limits liability that cannot be limited under the ACL. To the maximum extent permitted by law, for losses not otherwise required to be remedied under the ACL, our aggregate liability arising out of or related to the Services or products will be limited to (at our option) resupplying the goods/services or paying the cost of resupply. Consequential or indirect losses are excluded where permitted by law. ACCC

16. INDEMNITY

To the extent permitted by law, you indemnify Temp-Zero and our personnel against losses arising from your unlawful use of the Services or breach of these Terms. This section does not limit your rights under the ACL and does not apply to losses caused by our own negligence, fraud, or wilful misconduct.

17. SEVERABILITY

If any part of these Terms is unlawful or unenforceable, that part is severed and the remainder continues in effect.

18. WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a right is not a waiver. These Terms, together with policies referenced here (e.g., Privacy Policy; Refunds/Returns Policy; Shipping Policy), constitute the entire agreement between you and us regarding the Services.

19. ASSIGNMENT

You may not assign or transfer your rights or obligations without our written consent. We may assign or transfer our rights and obligations at any time.

20. GOVERNING LAW

These Terms are governed by the laws of New South Wales and the Commonwealth of Australia. You submit to the exclusive jurisdiction of the courts of NSW and the Commonwealth of Australia.

21. CHANGES TO THESE TERMS

We may update these Terms from time to time. If we make material changes, we will provide notice where required by law. Your continued use of the Services after an update constitutes acceptance.
